This Affiliate Agreement (“Agreement”) governs your participation in an affiliate, referral, or partner program operated by Yenom Marketing Inc. (“YMI,” “we,” “us,” or “our”).
By applying to, being accepted into, or participating in a YMI affiliate program, you agree to this Agreement. If you do not agree to these terms, you may not participate in the applicable affiliate program.
An affiliate program may also be subject to additional program-specific terms, policies, and requirements, as well as the terms and policies of the affiliate or commerce platform used to operate the program. Where applicable, those requirements apply in addition to this Agreement.
1. Eligibility and Acceptance
You must provide accurate and complete information when applying for or participating in an affiliate program.
YMI may approve or decline an application at its discretion. Approval for one YMI affiliate program does not necessarily constitute approval for another program.
You must be legally able to enter into this Agreement and comply with all applicable laws, regulations, and platform requirements.
YMI may refuse participation or terminate an affiliate relationship if it reasonably believes that an affiliate’s activities are harmful to YMI, its customers, affiliates, vendors, platforms, or reputation, or violate this Agreement or applicable law.
2. Affiliate Relationship
If accepted, you may promote the YMI products, services, or other offerings identified by YMI for affiliate promotion and may receive commissions on qualifying transactions attributed to you under the applicable program’s tracking system.
You are an independent contractor and not an employee, agent, partner, joint venturer, franchisee, or legal representative of YMI.
You may not represent that you have authority to act on behalf of YMI, enter into agreements in YMI’s name, make commitments on YMI’s behalf, or otherwise create an impression of an agency or employment relationship.
3. Affiliate Links and Tracking
YMI or the applicable affiliate platform will provide or make available affiliate links, tracking links, promotional materials, or other methods for attributing qualifying transactions.
Commissions are generally based on transactions properly attributed to you through the applicable tracking system and satisfying the applicable program requirements.
YMI does not guarantee that every visit, click, lead, or sale will be tracked or attributed to an affiliate. Tracking may be affected by browser settings, device settings, cookies, ad-blocking technology, technical problems, competing referral links, or other circumstances beyond YMI’s reasonable control.
The applicable affiliate platform’s tracking and attribution rules will govern where those rules apply.
You may not manipulate, interfere with, or attempt to circumvent affiliate tracking.
4. Commissions
The commission rate, qualifying products, attribution rules, payment schedule, and other program-specific terms will be stated in the applicable affiliate program or platform.
Unless otherwise stated, commissions are earned only on qualifying transactions that are successfully completed and are not subsequently refunded, cancelled, reversed, charged back, or determined to be fraudulent or otherwise ineligible.
YMI or the applicable platform may adjust or reverse commissions associated with refunds, chargebacks, cancellations, fraudulent transactions, duplicate transactions, or other transactions that do not qualify under the applicable program.
YMI may withhold payment of commissions that are reasonably disputed or subject to investigation until the matter is resolved.
You are responsible for providing accurate payment and tax information and for any taxes or other obligations arising from commissions paid to you, except for taxes that YMI is legally required to collect or withhold.
5. Promotional Methods
You must promote YMI products and services honestly, accurately, and in a manner consistent with the information and promotional materials supplied or approved by YMI.
You must not:
- make false, misleading, deceptive, or unsubstantiated claims;
- make guarantees regarding income, earnings, sales, business success, or other results;
- misrepresent the price, features, benefits, availability, or terms of a product or service;
- impersonate YMI or falsely suggest that you are YMI;
- create websites, advertisements, social media accounts, or other materials that are likely to confuse people about whether they are operated by YMI;
- use misleading redirects, cloaking, cookie stuffing, forced clicks, or other methods designed to improperly obtain affiliate credit;
- engage in spam or other prohibited unsolicited promotional activity;
- use malware, malicious code, or other harmful technology;
- promote YMI products in connection with unlawful, fraudulent, defamatory, or otherwise inappropriate activities; or
- engage in any promotional practice prohibited by the applicable affiliate or commerce platform.
You are responsible for ensuring that your promotional methods comply with applicable advertising, consumer-protection, privacy, electronic-communications, intellectual-property, and other laws and regulations.
6. Email Marketing and Spam
If you promote YMI products by email, you must use email addresses and mailing lists in accordance with applicable law and the rules of the applicable email service provider and affiliate platform.
You must not send unsolicited commercial electronic messages or otherwise use spam to promote YMI products.
You must not add people to your own mailing list merely because they clicked an affiliate link or visited a YMI sales page unless you have an appropriate legal basis to do so and comply with applicable requirements.
You must not represent an affiliate email as an email sent by YMI unless YMI has expressly authorized that representation.
7. Search Advertising and Paid Promotion
Paid advertising may be permitted or restricted by the applicable affiliate program.
Unless expressly permitted by YMI and the applicable affiliate platform, you must not:
- bid on YMI trademarks or confusingly similar terms;
- use YMI trademarks in a manner that implies that YMI operates or endorses your advertising;
- create advertisements that mislead users about the identity of the advertiser;
- use negative keywords or other advertising techniques intended to interfere with YMI’s advertising; or
- engage in paid search or other advertising practices prohibited by the applicable program or platform.
If YMI provides specific paid-advertising rules for a program, those rules will apply in addition to this Agreement.
8. Affiliate Disclosures
You must clearly and conspicuously disclose your affiliate relationship where required by applicable law or advertising rules.
Your disclosure should make it reasonably clear that you may receive compensation if someone purchases through your affiliate link or referral.
You must not conceal or misrepresent your financial relationship with YMI.
9. Intellectual Property
YMI grants you a limited, non-exclusive, revocable, non-transferable permission to use approved YMI affiliate links, trademarks, logos, images, text, and other promotional materials solely for the purpose of legitimately promoting the applicable YMI program.
You may not modify YMI trademarks or promotional materials in a way that creates confusion about their source or meaning.
You may not register or use domain names, social-media accounts, advertising identifiers, or other identifiers that incorporate YMI trademarks or are confusingly similar to them without YMI’s prior written permission.
All rights not expressly granted remain with YMI or its licensors.
Upon termination of your affiliate relationship, you must stop using YMI’s trademarks, affiliate links, promotional materials, and other materials supplied for affiliate promotion, except to the extent that continued use is expressly authorized by YMI.
10. Customer Relationships and Data
Customers who purchase YMI products remain customers of YMI or the applicable merchant or platform, as appropriate.
Participation in an affiliate program does not give you ownership of YMI’s customer information, mailing lists, customer accounts, transaction information, or other confidential business information.
You must not collect, use, disclose, or share personal information obtained through your affiliate activities except as permitted by applicable law and the applicable program requirements.
You must not represent that you are authorized to provide customer support, refunds, account changes, or other services on behalf of YMI unless YMI has expressly authorized you to do so.
11. Third-Party Affiliate Platforms
YMI may operate affiliate programs through third-party platforms, including but not limited to ThriveCart, ClickBank, or other affiliate, commerce, or payment platforms.
Where a third-party platform is used, your participation is also subject to that platform’s applicable terms, policies, and program rules.
If a platform’s rules impose requirements that are stricter than this Agreement, you must comply with the stricter requirements.
A platform may have its own rules concerning tracking, attribution, commissions, payment, refunds, chargebacks, promotional methods, prohibited traffic, advertising, and termination. YMI is not responsible for the platform’s independent policies, technical operation, or decisions.
12. Prohibited Transactions and Activities
You may not use your affiliate relationship to generate commissions through:
- purchases made primarily for your own benefit where self-referral is prohibited;
- fraudulent or unauthorized transactions;
- stolen payment information;
- fake leads or fabricated transactions;
- automated or artificial traffic;
- manipulation of tracking systems;
- transactions generated through prohibited promotional methods;
- transactions that violate the applicable program or platform rules; or
- any other activity intended to improperly obtain commissions.
Where a transaction is found to be invalid, YMI may reverse any associated commission and take other reasonable action permitted by this Agreement and applicable law.
13. Compliance With Laws and Policies
You are responsible for complying with all laws, regulations, and applicable platform policies relating to your affiliate activities.
This may include requirements concerning advertising disclosures, consumer protection, privacy, electronic communications, intellectual property, contests or promotions, taxation, and online advertising.
YMI does not provide legal or regulatory advice to affiliates. You should obtain professional advice regarding requirements that apply to your particular activities where appropriate.
14. Confidentiality
You must not disclose confidential, non-public information provided to you by YMI, including non-public pricing, promotional plans, customer information, technical information, or other information that YMI reasonably identifies or treats as confidential.
This obligation does not apply to information that is publicly available through no breach of this Agreement, was lawfully known to you before disclosure, or must be disclosed by law.
15. Affiliate Materials and Representations
You are responsible for the content and accuracy of your own websites, advertisements, emails, social-media posts, videos, articles, and other promotional materials.
If YMI provides approved promotional materials, you may use them subject to this Agreement and any instructions accompanying those materials.
You must not make claims about YMI or its products that are inconsistent with YMI’s published information or approved promotional materials.
Testimonials, reviews, case studies, income examples, or statements concerning results must not be presented as typical or guaranteed results unless properly supported and permitted by YMI and applicable law.
16. Monitoring and Enforcement
YMI may monitor affiliate activity to the extent reasonably necessary to administer its affiliate programs, protect its business and customers, investigate suspected violations, and comply with legal or platform requirements.
If YMI believes that an affiliate has violated this Agreement, applicable law, or platform rules, YMI may take appropriate action, including removing promotional materials, suspending affiliate tracking, withholding disputed commissions, reversing ineligible commissions, restricting participation, or terminating the affiliate relationship.
YMI will use reasonable judgment in administering these provisions and will not be required to provide advance notice where immediate action is reasonably necessary to protect customers, systems, the affiliate program, or YMI’s interests.
17. Termination
Either you or YMI may terminate the affiliate relationship at any time, subject to any applicable program-specific terms.
YMI may terminate or suspend your participation immediately if you materially violate this Agreement, applicable law, or applicable platform rules; engage in fraudulent or deceptive activity; misuse YMI’s intellectual property; create a significant risk to YMI or its customers; or otherwise engage in conduct that reasonably warrants termination.
Upon termination, you must stop promoting the applicable YMI program and stop using YMI affiliate links, trademarks, and promotional materials.
Subject to applicable law and the applicable program rules, valid commissions earned before termination may remain payable after termination. Commissions associated with refunded, cancelled, charged-back, fraudulent, or otherwise invalid transactions may be reversed or withheld in accordance with this Agreement and the applicable program.
Sections that by their nature should survive termination, including provisions concerning intellectual property, customer information, confidentiality, limitations of liability, and disputes, will continue to apply.
18. Disclaimer
YMI does not guarantee that an affiliate will earn commissions, obtain customers, generate traffic, or achieve any particular level of income or results.
Affiliate opportunities depend on many factors, including the affiliate’s promotional methods, audience, skills, effort, market conditions, product demand, and other circumstances.
Any examples of earnings, sales, commissions, traffic, or other results are illustrative unless expressly stated otherwise and are not guarantees of future results.
19. Limitation of Liability
To the fullest extent permitted by applicable law, YMI will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for loss of profits, revenue, business opportunities, data, or goodwill arising from or related to your participation in an affiliate program.
To the extent permitted by law, YMI’s aggregate liability arising from your participation in a particular affiliate program will not exceed the commissions actually paid or payable to you by YMI in connection with that program during the twelve months preceding the event giving rise to the claim.
Nothing in this Agreement limits liability that cannot lawfully be limited or excluded.
20. Indemnification
To the extent permitted by applicable law, you agree to indemnify and hold harmless YMI and its directors, officers, employees, contractors, and service providers from claims, losses, liabilities, damages, costs, and reasonable expenses arising from your:
- violation of this Agreement;
- violation of applicable law or platform rules;
- fraudulent, deceptive, or unlawful promotional activities;
- infringement or misuse of another person’s intellectual-property rights; or
- unauthorized representations or commitments made on behalf of YMI.
21. Changes to This Agreement
YMI may update this Agreement from time to time.
The revised Agreement will identify its updated date. Unless applicable law requires otherwise, changes will apply prospectively to affiliate activity after the effective date.
If a change materially affects an existing affiliate relationship, YMI may provide notice through the affiliate platform, email, the applicable affiliate account, or another reasonable method.
Continued participation in an affiliate program after the effective date of revised terms constitutes acceptance of the revised Agreement to the extent permitted by law.
22. Governing Law
This Agreement is governed by the laws of the Province of Ontario and the applicable laws of Canada.
Subject to any mandatory rights or remedies that cannot legally be waived or restricted, the courts of Ontario will have jurisdiction over disputes arising from or relating to this Agreement or your participation in a YMI affiliate program.
23. General
If any provision of this Agreement is found to be invalid or unenforceable, the remaining provisions will continue in effect to the extent permitted by law.
YMI’s failure to enforce a provision on one occasion does not constitute a waiver of its right to enforce that provision later.
This Agreement, together with any applicable program-specific terms, the applicable platform rules, and any other written terms expressly incorporated into the affiliate program, constitutes the agreement governing your participation.
You may not assign or transfer your rights or obligations under this Agreement without YMI’s prior written consent.
Nothing in this Agreement creates a partnership, joint venture, employment relationship, franchise, or agency relationship between you and YMI.
